VEXEL TERMS OF TRADE – 2025
Welcome to Vexel! By placing an order with us, you’re agreeing to the following terms. We’ve kept it as clear as possible, but if you have any questions, get in touch.
Quotes & Pricing
- All quotes are valid for 30 days unless stated otherwise.
- Prices are exclusive of GST and delivery unless noted.
- Prices may change before delivery if costs go up.
- Any changes to your order may incur extra charges.
Ordering & Delivery
- Orders are subject to approval and stock availability.
- Delivery timeframes are estimates only. Vexel is not liable for delays caused by freight providers or circumstances outside our control.
- You are responsible for providing accurate delivery details and safe site access. If delivery fails due to incorrect details or access issues, redelivery charges may apply.
- By accepting delivery, you confirm the goods were received in good condition unless otherwise noted at the time.
- Orders for custom items are final once confirmed. These cannot be cancelled, refunded, or returned unless faulty or not as specified in writing.
Returns & Refunds
- Report any issues within 2 business days of delivery.
- We’ll replace or refund at our discretion once we’ve assessed the issue.
- Goods returned without prior approval won’t be accepted.
- Cancellations after order confirmation may be refused. If accepted, you may be charged for costs incurred up to that point.
Invoices & Payment
- Invoices are issued before or at the time of dispatch.
- Payment terms are 30 days from end of month unless agreed otherwise.
- We may charge 15% p.a. interest on overdue invoices.
- We reserve the right to:
- Suspend supply;
- Adjust your credit limit;
- Require upfront payment;
- Cancel current or future orders if payment issues arise.
Ownership of Goods
- Goods remain Vexel’s property until paid in full.
- Until then, you must:
- Store them safely and clearly mark them as ours;
- Insure them for replacement value;
- Not give others rights over them.
- These terms include a security agreement under the PPSA.
Storage & Handling
- If goods are not collected or cannot be delivered within 7 days of readiness, storage fees may apply. Risk transfers to the Customer after that time regardless of delivery status.
Liability & Warranty
- We only warrant what’s stated clearly in writing.
- We comply with any applicable guarantees under the Australian Consumer Law, where relevant.
- We are not responsible for misuse, third-party claims, or indirect losses.
- You agree to indemnify us for losses caused by incorrect use or false information.
Force Majeure
- Vexel shall not be liable for any failure or delay in performance caused by events outside our reasonable control. This includes but is not limited to: natural disasters, industrial actions, supply chain disruptions, cyber incidents, pandemics, or third-party transport delays.
Chain of Responsibility (CoR)
- Vexel complies with Australia’s Heavy Vehicle National Law (HVNL) and expects the same from all parties in the supply chain.
- Customers must:
- Ensure safe and legal access to delivery locations;
- Provide accurate unloading instructions;
- Avoid actions that could pressure drivers into unsafe practices.
- Deliveries may be postponed, cancelled, or rescheduled if conditions are deemed unsafe.
If Something Goes Wrong (Default)
- If you:
- Miss a payment;
- Breach these terms;
- Become insolvent—
We can:

- Demand immediate payment;
- Recover our goods;
- Add legal and collection costs to your bill;
- Suspend or cancel further supply.
Limits to Our Responsibility
- Our liability is capped at the value of the goods supplied.
- We are not liable for lost profits, downtime, or other indirect damage.
Legal Stuff
- These terms are governed by the laws of Queensland, where our head office is located.
- However, they apply to all transactions Australia-wide.
- Disputes are handled by the courts in Brisbane unless otherwise agreed in writing.
Guarantees (if you’re a guarantor)
- Any guarantees are binding and continue even if the business changes or Vexel gives you extra time to pay.
- We don’t have to chase the customer before coming to the guarantor.
Privacy & Credit Checks
- By trading with us, you consent to us checking and sharing your credit information when needed.
